Pty vs NPC: The Difference Explained (South Africa)

Pty vs NPC is one of the most common questions when registering a company in South Africa. Both are registered with the CIPC under the Companies Act, but they exist for completely different reasons. This guide explains the difference between a Pty and an NPC so you can pick the right one.

What is a Pty (private company)?

A Private Company — shown by “(Pty) Ltd” — is a for-profit company owned by shareholders. Profits can be distributed to those shareholders as dividends. It needs a minimum of one director and one shareholder. This is the standard structure for a normal business. You can register a Pty here.

What is an NPC (non-profit company)?

A Non-Profit Company — shown by “NPC” — is registered for a public benefit or a cultural, social or communal object. It has no shareholders, its income cannot be distributed to members or directors, and it needs at least three directors. It is the structure for churches, charities and NGOs.
