  • NPO or NPC for a Church? (vs Trust) β€” Which to Choose

Choosing between an NPO or NPC for a church β€” or a trust β€” is one of the first big decisions when formalising your congregation in South Africa. Each structure is registered differently and suits different needs. This guide explains the difference in plain language so you can decide with confidence.

NPO, NPC or trust: what actually differs?

These are not three versions of the same thing. An NPC is a type of company registered with the CIPC. A trust is registered with the Master of the High Court. And an NPO is a registration status granted by the Department of Social Development that can sit on top of a company, trust or voluntary association.

What is an NPC (and why churches choose it)?

A Non-Profit Company (NPC) is registered with the CIPC under the Companies Act, 2008. It gives your church a formal legal entity, a registration certificate and strong governance β€” which funders, banks and SARS take seriously. Most churches today choose an NPC as their foundation. You can register an NPC here.

    What NPO registration actually is

NPO registration is done with the Department of Social Development under the NPO Act. It gives you an NPO number that many funders and government programmes require. Importantly, you register the NPO on top of your NPC (or trust) β€” so it is not an either/or choice.

    When a trust makes sense

A trust is registered with the Master of the High Court and governed by a trust deed and trustees. Trusts can work for churches that are asset- or legacy-focused, but they offer less public transparency than an NPC and are often harder to open bank accounts and secure funding with.

So, NPO or NPC for a church?

For most churches the strongest path is: register an NPC with the CIPC for a solid legal structure, then register as an NPO with Social Development for funding credibility, and finally apply to SARS for PBO status and Section 18A where you qualify. That combination gives you structure, funding access and tax benefits. We can set up your NPC registration and guide the rest.

  • Pty vs NPC: The Difference Explained (South Africa)

Pty vs NPC is one of the most common questions when registering a company in South Africa. Both are registered with the CIPC under the Companies Act, but they exist for completely different reasons. This guide explains the difference between a Pty and an NPC so you can pick the right one.

Ready to register your non-profit? We handle the whole CIPC process for you.

What is a Pty (private company)?

A Private Company β€” shown by “(Pty) Ltd” β€” is a for-profit company owned by shareholders. Profits can be distributed to those shareholders as dividends. It needs a minimum of one director and one shareholder. This is the standard structure for a normal business. You can register a Pty here.

What is an NPC (non-profit company)?

A Non-Profit Company β€” shown by “NPC” β€” is registered for a public benefit or a cultural, social or communal object. It has no shareholders, its income cannot be distributed to members or directors, and it needs at least three directors. It is the structure for churches, charities and NGOs. You can register an NPC here.

Pty vs NPC: the key differences

    • Purpose: Pty = profit for owners; NPC = public benefit
    • Ownership: Pty has shareholders; NPC has members (or none) and no shareholders
    • Profits: Pty can distribute profits; an NPC cannot β€” funds stay in the organisation
    • Directors: Pty needs 1+; an NPC needs 3+
    • Name ending: “(Pty) Ltd” vs “NPC”
    • Tax: a Pty is taxed normally; an NPC can apply to SARS for tax exemption (PBO)

Pty vs NPC: which should you choose?

If you are running a business to make a profit, choose a Pty (Pty) Ltd. If your goal is a church, charity, NGO or community project where funds are reinvested into the cause, choose an NPC. Still unsure? We are happy to talk it through and register whichever fits.

  • Company Tax Registration with SARS: The 2026 Guide

Company tax registration is one of the first things every new business must get right in South Africa. Before you can invoice clients, claim from SARS or bid on tenders, your company needs to be correctly registered for tax. This 2026 guide explains what company tax registration involves, the different tax types, and how to get it done quickly.

Need your company registered for tax? We handle SARS for you.

    What is company tax registration?

Company tax registration means registering your business with the South African Revenue Service (SARS) for the taxes that apply to it. The good news: when you register a company with the CIPC, it is automatically registered for income tax and issued an income tax number. The rest β€” activating eFiling, VAT, PAYE and a public officer β€” is what completes your company tax registration.

    Your automatic income tax number

Every company registered through the CIPC receives an income tax reference number automatically. You then activate and manage it on SARS eFiling. If you have just registered, start with our company registration service and we will make sure your tax number is active and usable.

Appoint a public officer (tax representative)

SARS requires every company to appoint a public officer β€” the person responsible for the company’s tax affairs. This must be done shortly after registration, and SARS will not fully process your company tax registration until a valid representative is in place. We handle this appointment for you.

    VAT registration

VAT registration becomes compulsory once your company’s taxable turnover exceeds R1 million in any consecutive 12-month period. You may register voluntarily once turnover has exceeded R50,000 in the past 12 months. VAT registration lets you charge and claim VAT.

    PAYE, UIF and SDL

If your company employs staff, you must register for PAYE (employees’ tax), UIF and, where applicable, SDL. These are deducted and paid over to SARS monthly.

Tax Clearance and your Tax Compliance PIN

To bid on government tenders or register on the CSD, your company needs a Tax Compliance Status (TCS) PIN β€” often called a tax clearance. It confirms your company is tax compliant. If tenders are your goal, pair your tax registration with CSD registration and a B-BBEE affidavit, or get everything in our full tender package.

Let us handle your company tax registration

Company tax registration is far simpler when a specialist handles SARS for you. Our SARS tax registration service sorts your income tax activation, public officer, VAT and PAYE where needed, and your Tax Compliance PIN β€” so your company is fully tax compliant and ready to trade.

  • How to Register a Company in South Africa as a Foreigner (2026 Guide)

Registering a company in South Africa as a foreigner is entirely possible β€” and you do not even need to live in the country to do it. South Africa welcomes foreign business owners, and a non-resident can be the sole director and shareholder of a company. This 2026 guide explains exactly how to register a company in South Africa as a foreigner, what documents you need, how long it takes, and the visa and banking points to plan for.

Ready to register your company? We handle the entire process for you.

Register My Company πŸ’¬ WhatsApp Us

Can a foreigner register a company in South Africa?

Yes. There is no residency or citizenship requirement to own or direct a South African company. A foreign national can register a Private Company (Pty Ltd) with just one director and one shareholder β€” and that can be the same foreign person. You can own 100% of a South African company from abroad.

What you need to register a company in South Africa as a foreigner

    • A certified or notarised copy of your passport (accepted as proof of identity for non-residents)
    • Proof of residential address (your home address abroad is fine)
    • A South African business address for the company (we can provide a registered address)
    • Your contact details β€” email and phone
    • A proposed company name (and a few alternatives)

Foreign directors are verified through the CIPC’s Foreigner Verification Assurance process, so documents must be certified correctly. We handle this for you to avoid rejections.

    The registration process for foreigners

Importantly, foreign nationals cannot use the BizPortal quick-registration tool β€” registration must be done through CIPC e-Services or a registered company services provider. That is exactly what our company registration service does: we submit everything to the CIPC on your behalf, remotely, so you never have to travel or fight with the online system.

Once approved, you receive your CIPC registration number, CoR 14.3 certificate, Memorandum of Incorporation (MOI), share certificates and an automatically generated SARS income tax number.

    How long does it take?

The company registration itself is usually processed within a few business days once your documents are certified and complete. Note one extra step for foreigners: where there are non-resident shareholders, the share certificates may need to be endorsed by the South African Reserve Bank (SARB), and that endorsement can take around 6–8 weeks. We guide you through it so nothing stalls.

Do foreigners need a visa to register a company?

No β€” you do not need a visa to own or register a South African company; that can be done entirely from abroad. A visa only comes into play if you want to physically live and work in South Africa running the business, in which case a Business Visa or Work Visa applies. Those have their own financial and regulatory requirements, so speak to an immigration specialist about your situation.

    After registration: tax and banking

Your new company is a South African tax resident, so you will need SARS tax registration to trade and invoice. Opening a business bank account as a non-resident is often the trickiest step β€” banks have strict FICA checks β€” so plan for it early. If you intend to bid on government tenders, you will also want CSD registration and a B-BBEE affidavit.

Let us register a company in South Africa as a foreigner for you

Registering a company in South Africa as a foreigner is much simpler when a local team handles the paperwork, the CIPC submission and the foreign verification for you. • CIPC Company Registration Cost in 2026: A Clear Breakdown

One of the most common questions we get is: how much does it cost to register a company in South Africa? Here’s a clear 2026 breakdown of the official CIPC fees and what to expect.

Ready to register your company? We handle the entire process for you.

Register My Company πŸ’¬ WhatsApp Us

    Official CIPC fees (2026)

    • Name reservation: R50 per name
    • Company registration: R125 online (R175 for manual filing)
    • Annual return fee: R100 to R3,000 per year, depending on your company’s turnover

So why do registration services charge more?

The state fees are low, but a professional service does much more than click “submit”. A good registration package handles name reservation, correct MOI setup, your SARS income tax number, share certificates, a B-BBEE affidavit, and guidance on the next steps β€” with no rejections or delays. Rejections at CIPC are common when forms are completed incorrectly, and they cost you time.

    Don’t forget the annual return

Every registered company must file an annual return with CIPC and pay the annual return fee (from R100). Missing this can lead to your company being deregistered, so it’s worth staying on top of it β€” we can remind and assist you.

    Bundled costs to plan for

    • SARS tax registration and Tax Clearance (needed for tenders)
    • Business bank account (free to open, but required for CSD)
    • CSD registration (to bid on government tenders)
    • BEE affidavit (free sworn affidavit for businesses under R10m turnover)

CIPC fees can change β€” always confirm current fees before filing. Independent service, not affiliated with CIPC.

CIPC company registration: 3–5 business days

Once all your documents are submitted correctly, CIPC registration typically takes 3 to 5 business days. In urgent cases it can sometimes be completed within 24 to 48 hours. Delays usually happen when documents are missing or forms are completed incorrectly β€” which is exactly what a registration service prevents.

    SARS income tax number: automatic

Your company’s income tax number is generated automatically when you register with CIPC. You then activate it on SARS eFiling. A Tax Clearance / Tax Compliance Status can take a little longer, depending on SARS.

    Business bank account: 1–3 days

Opening a business bank account usually takes a day or two once your company documents are ready β€” some banks offer same-day online opening.

    CSD registration: 5–10 business days

If you plan to apply for government tenders, CSD registration takes around 5–10 business days, including bank verification.

    The full picture

From registration to fully tender-ready (company + tax + bank + CSD + BEE) usually takes about 2 to 3 weeks. We can run these steps in parallel to get you trading as fast as possible.

Timelines depend on CIPC, SARS and bank processing. Independent service, not affiliated with CIPC.

Step 1: Reserve your company name

You can reserve a company name with CIPC for R50 per name. You may submit up to four proposed names. If you’re in a hurry, you can also register with a generated name (your registration number) and change the name later.

    Step 2: Prepare your documents

    • Certified copy of a valid SA ID, passport or asylum document for each director
    • Proof of residential address not older than 3 months
    • Email address and cell number for each director

    Step 3: Register with CIPC

Company registration costs R125 online (or R175 for manual filing) plus the R50 name reservation. Once submitted, registration usually takes 3–5 business days, and sometimes 24–48 hours in urgent cases.

Step 4: Receive your company documents

When your registration is approved you’ll receive:

    • Your company registration number (format 2026/123456/07)
    • The CoR 14.3 registration certificate
    • Your Memorandum of Incorporation (MOI)
    • An automatically generated SARS income tax number
    • Share certificates and a B-BBEE affidavit

Step 5: The next steps to start trading

After registration, most businesses need to: activate their SARS eFiling profile, open a business bank account, register on the CSD for tenders, and get a BEE affidavit. We can handle all of these for you.

How much does it cost in total?

The CIPC state fees are low (around R175 including a name), but doing it correctly and bundling tax, banking, CSD and BEE is where a registration service saves you time and rejections. Contact us for our current package pricing.
